This document outlines the general terms and conditions under which users are offered the use of the website www.guiddy.it, which offers tourist services and packages for sale with the aim of promoting the Italian territory and regional traditions and allows registration in the community of excursions, trips, and events in Italy.

1. Definitions:

For proper understanding and acceptance of this document, the following terms with an initial capital letter, whether singular or plural, shall have the following meaning:

• Authentication: access to the Site through personal and confidential credentials that allow the User to benefit from the features and Services offered on the Site itself;

• Service: the sale of individual services or tourist packages advertised on the Site, as well as access to the community, which allows Users, after Authentication, (i) to share customized content on their personal page on the platform and (ii) to meet other Users with similar interests participating in the same activities;

• Terms and Conditions of Use: this document that governs the use of the Site and the relationship between the User and the Owner and Manager of the Site;

2. Scope of the Terms and Conditions

Using the Site and creating an account through personal and confidential credentials implies the User's acceptance of these Terms and Conditions of Use.

Before using the Site, the User must carefully read the Terms and Conditions of Use applicable at the time of registration for the Service. If the User does not intend to accept the Terms and Conditions and/or any other notice, legal disclaimer, or information published or referenced therein, they will not be able to use the Site or access the Services.

The community Service allows the User in particular to:

• interact with the organizers and guides of the tourist packages and services.

To register, the User must follow the procedure indicated on the Site and enter the requested data.

To complete the registration process, the User must fully accept these Terms and Conditions as well as the Privacy Policy.

The User is responsible for safeguarding their access credentials, which must be used exclusively by them.

The User agrees to keep them confidential, ensure no third party gains access to them, and immediately inform the Owner in case of suspected or known misuse or unauthorized disclosure.

The User agrees to hold the Owner harmless and indemnified from any liability and compensation claims arising from or related to the User's breach of the rules regarding registration to the Site and management of access credentials.

5. Service Changes

The Owner reserves the right to modify the Site and its features, temporarily or permanently.

This is because the Owner, by analyzing User data and service usage methods, is constantly committed to improving the offered Services and features.

Consequently, the Owner may also unilaterally modify these Terms and Conditions of Use.

If the User continues to use the account and Services, they accept the updated Terms and Conditions. If they do not wish to accept them, they must delete their account.

7. Security and Interaction with Other Users

In no case can the Owner be held responsible for the conduct of Users, either on the Site or during the activities included in the tourist packages and services offered for sale, even though every reasonable effort is made to ensure safe and inclusive use of the Site and Services.

The User agrees to use the Services with caution and respect towards other Users, both during interactions on the Site and when meeting other Users in person during activities organized through the Site.

8. Rights and Obligations of Users

To use the Site and Services in compliance with these Terms and Conditions of Use, the User agrees to:

• not use the Site or its content for any commercial purpose without the Owner’s consent;
• not copy, modify, transmit, create derivative works from, use, or reproduce in any way images, trademarks, trade names, content, and information accessible through the Site without the Owner’s written consent;

• not engage in conduct intended to interfere with the Site's operation and/or disrupt or damage its features and Services;
• not compromise the security of the Service;

• comply with the community guidelines;
• not act unlawfully or deceptively to achieve purposes contrary to the law and these Terms and Conditions of Use.

The Owner may take any action to stop unauthorized or illegal use of the Service or the Site, including the unilateral deletion of the account.

Although the Owner reserves the right to verify and remove any content that violates the law, these Terms and Conditions of Use, and the community guidelines, responsibility for what is published on their account lies solely with the User.

9. Rights of Uskillx s.r.l.

The User remains the sole owner of the content uploaded to the Site through their account.

The User has no license to use the content and/or materials available on the Site unless otherwise provided.

Any unauthorized reproduction of explanatory texts and Site content in any form shall be considered a violation of the Owner's intellectual and industrial property rights.

All trademarks, figurative or word marks, and all other signs, trade names, service marks, commercial names, illustrations, images, and logos referring to Uskillx s.r.l. are and remain the exclusive property of the Owner or their licensors and are protected by current trademark laws and related international treaties. All trademarks, signs, trade names, service marks, and content belonging to third parties and published by them on the Site remain the exclusive property of such third parties or their licensors. The Owner does not own these intellectual property rights and may only use them within the limits and under the agreements made with such third parties for the specified purposes.

11. Contract Assignment

12. Limitation of Liability

The Owner shall not be liable to the User, except in cases of willful misconduct or gross negligence, for any disruptions or malfunctions related to the use of the Site.

13. Communications

14. Partial Invalidity and Nullity

If any provision of the Terms is found to be invalid, illegal, or ineffective, such provision shall be removed, and the remaining provisions shall not be affected and shall remain fully effective.

15. Governing Law and Jurisdiction

These Terms and all disputes regarding their execution, interpretation, and validity are subject to Italian law and the jurisdiction of the Italian State.

For consumer Users, any dispute relating to the application, execution, and interpretation of these Terms shall be submitted to the court of the place where the consumer User resides or has elected domicile, if located in the territory of the Italian State, without prejudice to the User’s right to bring proceedings before a different court under art. 66-bis of the Consumer Code, using one of the criteria under Articles 18, 19, and 20 of the Civil Procedure Code.

The application of any more favorable and mandatory provisions of the law of the country where the consumer User has their habitual residence is reserved. For non-consumer Users, any dispute relating to the application, execution, and interpretation of these Terms and Conditions shall be submitted to the court where the Owner has its registered office.

16. Online Dispute Resolution for Consumers

The consumer User residing in a European Union Member State must be aware that the European Commission has established an online platform that provides an alternative dispute resolution tool. This platform may be used by European consumers to resolve any dispute related to and/or arising from online contracts for the sale of goods and services.
